1. Introduction

This General Disclaimer applies to the use of the ProfitWis assistive accounting technology platform and any reports, analyses, calculations, recommendations, summaries, templates, estimates, AI-assisted outputs, workflows, planning materials, or other content made available through the platform (collectively, the "Materials").

In this disclaimer, "ProfitWis", "we", "our", and "us" refer to ProfitWis Pty Ltd (ABN 77 690 086 545) and its platform services.

By accessing or using the platform or any Materials, you acknowledge that you have read and understood this disclaimer. If you do not agree to this disclaimer, you must not access or use the platform.

2. Information Provided by Users

The Materials are prepared based on information, documents, financial statements, assumptions, records, and other content uploaded, entered, or otherwise provided by users.

We do not independently verify, validate, review, audit, or confirm the accuracy, completeness, reliability, legality, or appropriateness of user-provided information unless expressly stated otherwise.

You are solely responsible for ensuring that all information uploaded to or used within the platform is accurate, complete, current, lawful, and appropriate for your intended use and circumstances.

We accept no responsibility or liability for any loss, error, omission, inaccuracy, or consequence arising from incomplete, inaccurate, outdated, corrupted, misleading, improperly classified, or unlawfully supplied information.

3. General and Assistive Nature of the Platform

ProfitWis is an assistive accounting technology platform designed to support accounting and business professionals through general analytical, estimation, workflow, reporting, planning, organisational, and AI-assisted functionality.

The platform and Materials are intended solely as assistive tools and do not replace professional judgment, independent verification, or appropriately qualified professional advice.

Outputs generated by the platform may depend on assumptions, templates, user inputs, automated logic, AI-assisted interpretation, and contextual analysis, and may not reflect all relevant legal, taxation, accounting, financial, commercial, or factual matters.

Users remain solely responsible for reviewing, evaluating, verifying, and determining the appropriateness of any Material before relying on or using it.

4. No Professional Advice

The Materials are general in nature and do not constitute personalised taxation, accounting, financial, investment, legal, business, or other professional advice.

The Materials may not take into account specific objectives, financial circumstances, tax positions, residency status, legal obligations, entity structures, commercial arrangements, regulatory requirements, or other individual circumstances.

You should obtain independent advice from appropriately qualified professional advisers before making, implementing, restructuring, relying upon, or refraining from any taxation, accounting, financial, legal, business, or commercial decision.

No representation or guarantee is made that any recommendation, structure, deduction, estimate, projection, tax treatment, financial outcome, compliance position, or planning strategy will be accepted by the Australian Taxation Office, any regulator, court, lender, government authority, counterparty, or other third party.

ProfitWis is an assistive accounting technology platform and does not provide tax agent services or BAS services within the meaning of the Tax Agent Services Act 2009 (Cth).

Users who are registered tax agents or BAS agents remain solely responsible for all professional advice, representations, lodgements, filings, and services provided to their clients, including compliance with applicable legislation and the Tax Practitioners Board Code of Professional Conduct.

5. AI-Assisted and Automated Outputs

Certain Materials may be generated, assisted, processed, or influenced by software systems, artificial intelligence models, automated processes, rules-based logic, machine-generated analysis, or algorithmic interpretation.

AI-assisted or automated outputs may contain inaccuracies, omissions, outdated information, interpretational limitations, incorrect assumptions, formatting issues, analytical errors, or incomplete analysis.

Human review, professional verification, and independent assessment should always be undertaken before relying on, implementing, communicating, filing, submitting, or acting on any Material or platform output.

We do not warrant that any AI-assisted or automated output will be accurate, complete, reliable, current, legally compliant, or suitable for any particular purpose.

6. Professional Users and End Clients

Where users are accounting, taxation, advisory, bookkeeping, or business professionals who use the platform in connection with services provided to their own clients, those users remain solely responsible for:

  • reviewing and verifying all Materials before use or distribution;
  • exercising independent professional judgment;
  • ensuring the appropriateness of any Material for their clients' circumstances; and
  • ensuring that any communication, advice, recommendation, report, or deliverable provided to their clients complies with applicable professional, legal, ethical, and regulatory obligations.

Any Materials provided to third parties, including clients of platform users, should be independently reviewed and verified by appropriately qualified professionals. Such review or verification does not create any right of reliance against ProfitWis Pty Ltd unless expressly agreed by us in writing.

7. No Professional Relationship

Use of the platform or access to the Materials does not, by itself, create any accountant-client, tax agent-client, adviser-client, fiduciary, agency, partnership, employment, joint venture, or professional services relationship between you and ProfitWis.

Any professional engagement or advisory relationship must be separately agreed in writing.

8. Accuracy, Availability, and Platform Operation

While reasonable care is taken in developing, maintaining, and operating the platform, we do not represent or warrant that:

  • the platform or Materials will always be accurate, complete, reliable, current, uninterrupted, secure, or error-free;
  • calculations, assumptions, estimates, templates, workflows, or outputs will always produce correct or suitable results;
  • the platform will always remain available or operate without delays, outages, cyber incidents, malware, unauthorised access, technical faults, or interruptions; or
  • defects, vulnerabilities, or errors will always be identified, corrected, prevented, or avoided.

Legislation, tax rulings, administrative practices, rates, thresholds, interpretations, regulatory guidance, and professional standards may change over time and may affect the relevance or accuracy of the Materials.

9. Cybersecurity and Electronic Risks

While reasonable administrative, technical, and organisational safeguards are implemented to protect platform information and systems, no online platform, electronic transmission, cloud environment, or storage system can be guaranteed to be completely secure.

You acknowledge and accept the inherent risks associated with internet-based services, electronic communications, cloud storage, cybersecurity incidents, unauthorised access, malware, system failures, data corruption, service interruptions, and other technological risks.

Users are encouraged to apply appropriate data minimisation practices and upload only information reasonably required for their intended use of the platform.

10. Limitation of Liability

To the maximum extent permitted by law, ProfitWis and its directors, officers, employees, contractors, affiliates, agents, licensors, and service providers exclude all liability for any loss, damage, cost, expense, liability, claim, or proceeding of any kind, including direct, indirect, incidental, consequential, special, economic, reputational, exemplary, or commercial loss, including loss of profits, revenue, opportunity, goodwill, business, tax position, data, or anticipated savings, arising from or in connection with:

  • access to or use of the platform or Materials;
  • reliance on any Material or platform output;
  • user-provided information;
  • AI-assisted or automated outputs;
  • assumptions, estimates, projections, interpretations, or calculations;
  • errors, omissions, inaccuracies, delays, or interruptions;
  • platform outages, cyber incidents, security events, or technical failures; or
  • any action taken or not taken based on the platform or Materials.

Where liability cannot lawfully be excluded, liability is limited to the maximum extent permitted by law.

11. Australian Consumer Law

Nothing in this disclaimer excludes, restricts, or modifies any rights, guarantees, warranties, remedies, or obligations that cannot lawfully be excluded or limited under applicable law, including the Australian Consumer Law.

Where any statutory guarantee or condition is implied and cannot be excluded, our liability is limited, to the extent permitted by law, to the resupply of the relevant services or the reasonable cost of having those services supplied again.

12. Intellectual Property and Permitted Use

Unless otherwise permitted by law or expressly authorised by us in writing, the Materials must not be reproduced, distributed, published, sublicensed, commercially exploited, modified, quoted out of context, or used for any purpose outside the intended operation and use of the platform.

No third party may rely on the Materials unless expressly authorised by ProfitWis Pty Ltd in writing.

13. Privacy

Use of the platform is also subject to our Privacy Policy and Terms of Use.

ProfitWis handles personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles, as applicable.

14. Changes to this Disclaimer

We may amend, update, replace, or modify this disclaimer from time to time by publishing an updated version on the platform.

Where material changes are made, we will take reasonable steps, where reasonably practicable, to notify users before the changes take effect, including by email notification, platform notification, or prominent notice on the platform where appropriate.

Your continued access to or use of the platform following publication of an updated version constitutes acceptance of the revised disclaimer.

15. Severability

If any provision of this disclaimer is found to be invalid, unenforceable, or illegal, that provision will be severed and the remaining provisions will continue in full force and effect.

16. Governing Law

This disclaimer is governed by the laws of the Commonwealth of Australia and the State of Western Australia.

You submit to the non-exclusive jurisdiction of the courts of Western Australia and the Commonwealth of Australia.
